What is a playbook?


In contract negotiations, a playbook is an internal document which specifies how a given type of contract ought to be negotiated. Topics typically covered by a playbook:


  • Negotiation Strategies: Guidance on how to handle common negotiation scenarios, including priorities, tactics, concessions, and fallback positions.

  • Preferred, Acceptable, and Unacceptable Terms: Clearly defined positions for specific contractual clauses, often organized into tiers (optimal/preferred, acceptable compromises, deal-breakers).

  • Template Language and Clauses: Recommended standard language and clause variations to use during negotiation.

  • Risk Management Guidelines: Identification of risks and instructions on mitigating these risks through appropriate contractual clauses.

  • Market-Specific Guidelines: Instructions tailored to particular industries, markets, or geographies that may require unique contractual approaches.


A negotiation playbook helps maintain consistency, reduces risk, accelerates contract cycles, and ensures alignment with the organization's commercial strategy and compliance standards.
